Revised AGM Arrangements

News

Wynnstay, the agricultural supplies group, will be holding it's Annual General Meeting ("AGM") next Tuesday, 24 March 2020. As a result of the outbreak of the coronavirus and in line with latest Government advice, the Board is adopting a number of changes to the traditional running of the AGM. These measures, outlined below, are aimed at ensuring the well-being of colleagues, customers, shareholders, and suppliers, which remain a priority.

  • The usual format of the AGM will be condensed to include only the Ordinary and Special Business published on page 86 of the Annual Report and Accounts 2019

  • There will be no management presentation, however, as usual, an AGM Statement will be published at 7.00 am on the morning of the AGM, and will be available on the Company's website

  • A webcast of the AGM will be made available on the Company's website

  • Access to the Board following the formalities of the AGM will be curtailed. Instead, the Chairman, Chief Executive, and Finance Director will make themselves available by request to take telephone calls from shareholders with queries. Shareholders can use the following telephone number to make an appointment, 01691 827142 or submit queries by email, using the following email address, shareholder_communications@wynnstay.co.uk

  • No refreshments will be served

  • Increased hygiene standards will be enforced

  • The number of external guests will be strictly limited

Shareholders will be able to exercise their voting rights at the AGM without physical presence by using proxy voting. Details on how shareholders can vote via a proxy are available on the Company's website. Proxy votes should be returned by 11.45 am on Monday, 23 March 2020 either by post to the Company Secretary, Wynnstay Group Plc, Eagle House, Llansantffraid, Powys SY22 6AQ or by email to shareholder_communications@wynnstay.co.uk.

All shareholders are encouraged to use these facilities where possible rather than attend the AGM in person. Individuals belonging to a high-risk group, as defined by the NHS, are strongly advised not to attend the AGM in person.

The Board continues to follow advice issued by the UK Government on the coronavirus, and will, if necessary, update the measures above.

The venue and timing of the AGM remains unchanged, being 11.45 am on Tuesday, 24 March, at Shrewsbury Town Football Club.
